General Business
We provide a full array of legal services and counsel to corporations, partnerships, limited liability companies, joint ventures, real estate investment trusts, associations, and individuals. Services rendered include counsel and representation in the areas of incorporations, partnership matters, employment law, construction law, and trademark and copyright, with emphasis on services for health care providers, developers, automobile dealerships, and construction industry businesses.
Transactions
Several members of the firm are largely concerned with "transactional practice," including mergers, divestitures, acquisitions, and proxy disputes, financing and security arrangements. In addition, we are regularly involved in corporate financial matters, including industrial development bond financing and refinancing. The firm is, and has been for some time, listed by the Bond Buyers Directory of Municipal Bond Dealers ("The Red Book") in its list of municipal bond attorneys of the United States. In one year, the firm was bond counsel with respect to more bonds (by dollar amount) than any other firm in Tennessee.
Financial and Estate Planning
We routinely prepare simple and complex wills and trusts, and the attorneys in this practice area also serve clients’ needs regarding tax planning, tax audits, probate and estate administration, charitable and foundation organization and representation, pension and profit sharing matters, and formation of family limited partnerships. We are keenly aware of the issues surrounding generational succession in small business, and we help determine and implement plans for business longevity as it handed down generation to generation. We represent individuals, as well as businesses. Several of our attorneys act as trustees, and we prepare individual, gift, corporate, partnership, and fiduciary tax returns.
Litigation and Dispute Resolution
Our substantial litigation practice includes prosecuting and defending business, construction, corporate, domestic relations, employment, estate, environmental, intellectual property, personal injury, real estate, securities and tax matters in state and federal courts throughout the Southeast. We represent insurance policyholders and also liability, casualty and workers’ compensation insurance carriers in cases ranging from professional malpractice to products liability to automobile collisions. We also handle litigation for multiple health care providers. We represent clients in arbitration, mediation and other alternative dispute proceedings, and a number of our attorneys are certified arbitrators and mediators. We also handle the defense of certain white-collar civil and criminal matters.
Governmental
Firm members have served as special consultants for the Tennessee Department of Labor and the Tennessee Department of Employment Security. We are also general counsel to Chattanooga Neighborhood Enterprise, Inc., a nationally recognized public/private partnership for affordable housing. In addition, we represent clients on matters before agencies, departments, and commissions of the Tennessee government, the Federal government, and before the Tennessee General Assembly on legislative matters.
Health
The Grant Konvalinka & Harrison health law group represents physicians, home health agencies, hospitals, nursing homes and other healthcare providers in both administrative proceedings and litigation. Specifically, the health law group represents medical providers in obtaining certificates of need, licensure, staff privileges, Medicare certification, and HIPAA compliance. The group further provides representation to health care providers who are denied reimbursement by insurance companies, Medicare or TennCare. Members of the health care group have represented medical providers before various state agencies, as well as the federal Departmental Appeals Board, the Provider Reimbursement Review Board and district courts and courts of appeals.
Environmental
We provide a full range of legal and consultation services to corporations and individuals needing assistance in the fast moving field of environmental law. Our environmental practice has more than a decade of government regulatory experience, unique working relationships with regulators and government officials, and an insider's understanding of complex technical issues. We have experience in: solid waste and hazardous substances issues; sophisticated property transactions and environmental due diligence; proceedings relating to toxic substances, industrial hygiene and environmental enforcement; and environmental lobbying. We also have extensive new source siting and permitting capabilities.
Real Estate
We provide a full range of legal and consultation services for all aspects of real estate transactions, including development, leasing, sale, and title issues. We have experience on a national basis in office, multi-unit apartment, shopping center, large residential and golf course development. We are an agent for Commonwealth Land Title Insurance Company and provide full title insurance services for both commercial and residential closings.
Bankruptcy
We provide a full range of legal and consultation services to clients in all areas of bankruptcy law. We represent numerous creditors, including mortgage companies, automobile financial institutions and other commercial lenders, and lessors and lessees of debtors in bankruptcy cases. In addition, members of our firm are experienced in the representation of creditor's committees, trustees, defendants in preference and other bankruptcy litigation and individual debtors in Chapter 7 and 13 cases and business debtors in Chapter 7 liquidations and Chapter 11 reorganizations.
Intellectual Property
We provide a full range of services with regard to the administration and registration of trademarks, copyrights, trade names, and assumed names. We also provide counsel regarding the protection of trade secrets, and have assisted many clients with regard to obtaining patent protection. We will audit a client's business practices to determine the need for protection of intellectual property assets, including the development of noncompetition and confidentiality agreements for both employees and third parties. We also both defend and prosecute related suits, such as infringement actions, in state and federal courts.
Employment
The Grant Konvalinka & Harrison employment law group primarily represents employers in connection with claims brought pursuant to Title VII of the Civil Rights Act of 1964, the Tennessee Human Rights Act, the American with Disabilities Act, the Family and Medical Leave Act, the Age Discrimination in Employment Act, and other state and federal civil rights statutes. Additionally, the employment law group represents employers in connection with wage and hour claims and National Labor Relations Board proceedings. Members of the group have represented parties before state and federal courts and administrative agencies throughout the country.
Creditors’ Rights/Collections
The attorneys of Grant Konvalinka & Harrison have the experience to assist creditors in successfully enforcing their rights. Our firm represents financial institutions, corporations, and individuals in prosecuting actions to collect outstanding debts in the Southeast. We have the ability to take the necessary steps to collect on a judgment once it has been granted including wage garnishments, bank executions, filing of judgment liens and execution on real and personal property. We will domesticate judgments from foreign jurisdictions in several states including Tennessee, Georgia, and Alabama, and can assist in collecting on a judgment after it has been domesticated. Furthermore, we conduct foreclosures on our clients’ behalf in eastern Tennessee and northwestern Georgia, which can be followed up with dispossessory actions, if need be. Finally, if a debtor opts to file for bankruptcy protection, we have the ability to assist our clients throughout and following the bankruptcy proceedings.
Domestic Relations
Certain members of Grant Konvalinka & Harrison provide representation in family law matters, including but not limited to divorce, legal separation, premarital agreements, paternity, guardianship, child custody and support disputes, adoptions and conservatorships.
Immigration
The attorneys at Grant Konvalinka & Harrison have over 20 years of experience helping regional, national and international businesses for over ten years with their immigration and non-immigration employment needs. We handle immigration issues with the USCIS (formerly INS), U.S. Department of State, and other governmental agencies on a daily basis for our business and individual clients. We frequently prepare nonimmigrant employment visa petitions (H-1, H-2, H-3, L-1, TN), blanket worker petitions, investor/treaty trader visa petitions, and immigrant employment petitions for our business clients. We also counsel companies on general corporate representation, I-9 hiring compliance, and we have experience representing clients in USCIS investigations. We assist individuals and families with green card applications, alien relative petitions, employment authorizations, advance parole petitions, citizenship/naturalization applications, diversity visa lottery applications, visa extensions, student visas and extensions for training, derivative visas, foreign adoptions and readoptions, and asylum and refugee applications. We have helped many clients’ relatives travel to the U.S., stay in the U.S., and become U.S. citizens.
Taxation
Grant Konvalinka & Harrison provides a broad range of tax services to individual and corporate clients. Our tax attorneys work to provide our clients with a full range of services concerning local, state, federal, and international tax matters. Our representation includes individuals, business organizations, and trusts engaging in individual tax planning, tax litigation, executive benefit and retirement planning, sale transactions and succession planning, real estate taxation and tax-free exchanges, partnership and corporate taxation; including reorganizations, mergers and liquidations. Additionally, several of our attorneys have uniquely in-depth knowledge and experience in the taxation of providers of health care services, tax-exempt entities, and criminal tax matters. Our attorneys offer tax advice in planning and structuring complex transactions, and have represented clients in matters with the Internal Revenue Service, and various state taxing authorities. Our representation includes seeking IRS and state ruling requests, audits, settlement negotiations, abatement proceedings, as well as tax litigation before the U.S. Tax Court, U.S. Claims Court, U.S. District Courts and Federal Courts of Appeals. |
